Vicki Westerhaus

Vicki joined Sandberg Phoenix in 2024 and is a member of the Business practice group. She is an experienced securities law, business and transactional attorney who uses her journalism background to explain complicated legal and business issues in an understandable, straight- forward way.

Since 1989, Vicki has acted as lead lawyer in a wide variety of corporate matters, including securities law compliance and offerings, mergers and acquisitions, corporate governance, joint ventures and other business law matters. Her skills and experience make her uniquely qualified to provide efficient and effective legal guidance and results-oriented advice to clients of all sizes, including public and private companies and nonprofits. She has experience with companies in a variety of industry sectors, including technology, healthcare, clinical research and communications, among others. Vicki is value-driven and known by clients and other lawyers for outstanding client service and responsiveness.
 

In addition, Vicki has a deep background advising senior management, boards and committees on fiduciary duty issues, SEC reporting requirements, proxy statement and activist proxy matters, Section 16 securities ownership reports and insider trading matters. She also represents companies in franchise matters, distribution and supply contracts, research and development agreements and consulting agreements.

Vicki also serves as outside general counsel to several companies and has conducted numerous seminars and trainings on securities law and business law matters.

Outside of the office, Vicki enjoys spending time on home improvement and other projects with her husband, Doug, who is also a lawyer and now retired, being a mom to her college-age sons and walking her fox red Labrador.
