Biography
Joel Green joined Sandberg Phoenix in January of 2011 and practices in the areas of Business, Estate and Tax. Joel focuses his practice on the representation of individual and business clients in the areas of estate planning, trust and probate administration, real estate transactions, mergers and acquisitions, franchise and distribution, business entity selection and formation, and commercial transactions. Joel is also a real estate investor and a licensed Illinois real estate broker.
In 2008, Joel was selected as one of Missouri's 40 Up & Coming Lawyers by
Missouri Lawyers Weekly.
Real Estate Transactions and Development
- Negotiate and draft commercial leases, purchase, sale and option agreements
- Representation of both landlords and tenants in various lease disputes
- Provide general counsel to commercial real estate broker with respect to all facets of business, including contract disputes, relationship disclosure issues and compliance with Department of Professional Regulation requirements
- Acquisition financing, leveraging and tax planning strategies
- Title review, perfection and protection of priority of security interests
- Execute sophisticated 1031 exchanges including identification of replacement properties, negotiation of intermediary documentation and documenting the qualified sale of relinquished property
- Representation of commercial real estate developer in land acquisition and development of build-to-suit restaurant facility, including site review, contract negotiations, purchase financing, selection and formation of equity entity, and leasing issues
- Negotiate sale and subsequent reclamation and repurchase agreements for sale of large parcel of real estate to a coal company for its temporary use in mining operations.
- Prepared a national analysis of state mechanics lien filing and enforcement requirements
Mergers and Acquisitions
- Represented the purchaser in the acquisition of a long-term care facility including real estate, tangible and intangible business assets; formulation and execution of various asset protection strategies; resolution of employment continuation disputes; coordination with additional outside counsel to facilitate the transition of all health care and Medicare reporting compliance requirements
- Acquisition of communications services company in a cash for assets transaction
- Highly leveraged acquisition of privately held manufacturer and distributor of industrial monitoring equipment by utilizing traditional lending and tiered debt financing structures
- Performed due diligence in attempt to acquire privately-held manufactured of conveyor belt systems used for warehousing purposes; Due diligence discovered undisclosed contract disputes and sales performance irregularities which led the buyer to abandon the transaction
Franchise Systems
- Ensure national compliance with Federal Trade Commission regulations
- Drafting of franchise and licensing agreements and franchise disclosure documents
- Draft and negotiate management, consulting, non-disclosure and confidentiality agreements
- Create and implement management orientation and compliance program for key company executives
- Representation of individual and multi-unit franchisees in franchise acquisitions and sales
Finance
- Automotive dealership financing, real estate acquisition and development
- Draft and review forbearance, reaffirmation and restructuring agreements
- Development and implementation of tiered debt and equity financing structures for various transactions including conventional financing and private equity alternatives
General Business Representation
- Provide counsel on general corporate governance

Joel is on the Board of Directors for the St. Louis Crisis Nursery. He is also involved in Big Brothers Big Sisters of Eastern Missouri and the St. Louis Food Outreach.

Education
In 2001, Joel earned his Juris Doctor from Saint Louis University School of Law and his M.B.A. from the St. Louis John Cook School of Business.
Joel received his B.S. in Psychology in 1997 from Bradley University.
